We hereby confirm the request of the following information about the Secured Short Term Real Estate Lending Fund (“STRELF”) – a Luxembourg based fund that is awaiting approval from the Commission de Surveillance du Secteur Financier (“CSSF”):
We acknowledge that the information requested above are confidential information (“Confidential Information”) and proprietary to Telios. Telios will disclose the information on a strictly confidential basis.
We shall use the Confidential Information in good faith solely for the purpose of evaluating considering and monitoring our investment in STRELF (the “Purpose“). We shall keep the Confidential Information strictly confidential, and We may only disclose the Confidential Information or portions thereof to those of our directors, officers, employees, affiliates and representatives (including, professional advisers comprising financial advisors, attorneys, and accountants) (collectively, the “Representatives“) (i) who have a bona fide need to know such information for the Purpose and for the proper performance of their duties, (ii) who are informed by Us and are aware of the confidential nature of the Confidential Information, and (iii) who agree and undertake to be bound by the terms of this deed of Confidentiality (the “Deed“) (including but not limited the obligation not to disclose the Confidential Information and to only use such information solely for the Purpose). In this regard, We undertake to procure that (prior to any disclosure of the Confidential Information to the Representatives) each such Representative enters into a confidentiality undertaking substantially on the same terms of this Deed and shall procure their compliance thereto from time to time.

This Deed shall remain in effect for so long as the Confidential Information is or remains confidential and is not in the public domain.
